During State of Dutch Tech 2024, a new model shareholder agreement was launched which can be used by Dutch spin-offs in which universities, University Medical Centers (UMCs) or other knowledge institutions participate as shareholders.
The model shareholder document was created from a collaboration between the Capital Waters Foundation and the tech transfer offices of TU Delft, TU Eindhoven, University of Twente, Wageningen University & Research and University of Amsterdam.
The aim is to make the spin-off formation process more smooth and transparent.
The documentation is not static: the intention is to publish an updated version every year.
Roy Kolkman - Manager Knowledge & Technology Transfer at Novel-T: "With this new shareholder agreement, we take another step in making the spin-off process smoother for Dutch knowledge institutions! Already a year ago, then also during Techleap's State of Dutch Tech, we launched the spin-off deal term principles. The new shareholder agreement perfectly aligns with these dealterms. This contributes to a smoother spin-off process."
